posAdvisors LLC grants to you and you accept a Software License to use the programs and related materials delivered with this Agreement, (“PRODUCT”).

posAdvisors LLC retains the copyright protection of PRODUCT. Under copyright laws, you agree not to transfer the PRODUCT to any party without prior written consent of posAdvisors LLC. Further, you agree that copies of PRODUCT shall be made only for backup and archival purposes. You must retain all such archival copies in your possession.

Except as provided in this Agreement, you may not transfer, sub-license, lease or rent, time-share or lend PRODUCT, your copies, or the related materials or any of your rights under this Agreement except by prior written consent of posAdvisors LLC.

You may not alter, decompile, reverse engineer, disassemble, or reverse transfer or in any other way derive source code from PRODUCT. You may not remove or obscure posAdvisors LLC’s copyright or trademark notices in either hard copy or machine readable portions of PRODUCT.

posAdvisors LLC provides PRODUCT “as is” without warranty of any kind, either express or implied, including the implied warranties of fitness for a particular purpose or merchantability and posAdvisors LLC shall not be liable for any tort, indirect, special, or consequential damages such as loss of profits or loss of goodwill from the use or inability to use this PRODUCT for any purpose.

You are receiving a license ONLY for the use of the PRODUCT in a single store. Grant of this license does NOT imply the grant of a license to use the PRODUCT in any other store or stores that you may own.

Any hardware software copy protection devices such as “keys”, “dongles”, etc provided with the PRODUCT remain the property of posAdvisors LLC and are provided solely to facilitate your use of the Software License.

Some states do not allow the exclusion of implied warranties so this may not apply to you. In such case, you agree that posAdvisors LLC’s liability shall be limited to a refund of the PRODUCT’s purchase price.

This Agreement shall be governed by the laws of the Commonwealth of Virginia and shall inure to the benefit of posAdvisors LLC, its successors and assigns.
